Một doanh nghiệp tuyển dụng một cán bộ không biết được, lúc kí hợp đồng lao động, nỗ lực mà người này sẽ thực sự bỏ ra cho công việc. Doanh nghiệp sẽ muốn động viên cán bộ này có nỗ lực tối ưu. Một doanh nghiệp trong thế độc quyền muốn bán cho người tiêu dùng một sản phẩm mà không biết được những đặc điểm của người này sẽ muốn áp dụng một sự phân biệt tối ưu. Doanh nghiệp tuyển dụng nhân viên ở thế có thông tin không hoàn hảo về những hành động có thể của người này (còn được gọi là tình thế với rủi ro đạo đức). Doanh nghiệp bán một sản phẩm ở thế có thông tin không đầy đủ về những đặc điểm của người tiêu dùng vốn có ích để doanh nghiệp điều chỉnh giao dịch (tình thế còn được gọi là lựa chọn nghịch). Trong thực tiễn, thường tác động của hai kiểu thông tin không đối xứng này trộn lẫn nhau. Dưới đây chúng tôi sẽ xem xét riêng biệt mỗi kiểu nhằm làm nổi lên những mất mát về phúc lợi có thể qui được cho mỗi kiểu thông tin không đối xứng. Để làm việc này chúng tôi sẽ giới hạn ở trường hợp một quan hệ hợp đồng giữa một người uỷ quyền đề nghị cho một người đại diện, người đại diện này có thể chấp nhận (hay từ chối) hợp đồng và thực hiện những điều khoản của hợp đồng đó. Nằm ở trung tâm của một quan hệ người uỷ quyền - người đại diện có một sự xung đột quyền lợi được thể hiện bằng sự khác biệt giữa những hàm mục tiêu và được củng cố bởi thông tin không hoàn hảo của các bên tham gia. Như thế hợp đồng là kết quả của một lựa chọn phức tạp.
